Referral Agreement Terms
“Company” : Thrive Services
“Referrer”: Person & Business completing above sign up form
Company agrees to provide website services to clients/contacts referred by the Referrer
Referrer acknowledges that the Company has no control over the policies of search engines and third-party marketing systems regarding website acceptance and content
Company makes no warranty that the services will generate any increase in sales, business activity, profits, or other improvements for referred clients/contacts
Referrer can refer a client/contact to the Company only once within a 2-year period
Company pays commission only on the first website sale of referred clients/contacts
Referrer agrees to repay the Company using future commissions if a client/contact disputes a direct debit payment and is reimbursed by their bank
Company pays a commission, as agreed upon prior to Referrer sign-up, based on a percentage of the actual sold package price charged to the referred client/contact (excluding hosting and additional services), up to a maximum amount of $500 per referral
Company will perform all agreed services and provide ongoing account support to the referred client/contact
Company accepts no liability for damages or losses arising from the provision of services, except in cases of negligence
Referrer will keep client/contact data and payment details confidential
Referrer indemnifies the Company against any claims, liabilities, and expenses resulting from infringement claims arising from the services provided by the Company
Agreement can be canceled by either party with 1 month's notice
The agreement is subject to the jurisdiction of the State of New South Wales, Australia, and the parties submit to the jurisdiction of the courts of the State of New South Wales
